These Terms and Conditions (“Terms”) govern your access to and use of the LUNA Systems website, software platforms, services, and related offerings (“Services”).
By accessing our website, booking a call, signing up, or engaging our Services, you agree to be bound by these Terms.
If you do not agree, you must not use our Services.
1. About LUNA Systems
LUNA Systems Pty Ltd (“LUNA Systems”, “we”, “us”, “our”) provides software systems, automation, digital infrastructure, and related support services to businesses.
Our Services may include system setup, configuration, automation, integrations, messaging, booking systems, analytics, and ongoing technical support.
2. Eligibility
You must be at least 18 years old and legally able to enter into binding contracts to use our Services.
If you are engaging our Services on behalf of a business, you confirm you have authority to bind that business to these Terms.
3. Scope of Services
The scope of Services provided will be agreed upon in writing, which may include:
Proposal documents
Service descriptions
Emails or written agreements
Subscription or onboarding documentation
Any work outside the agreed scope may require additional fees.
We do not guarantee specific business outcomes, revenue, leads, or performance results.
4. Client responsibilities
You agree to:
Provide accurate and complete information
Maintain the confidentiality of login credentials
Use the systems and Services lawfully
Ensure your own compliance with applicable laws, including privacy, marketing, and industry-specific regulations
Obtain all necessary consents from your customers or users
You remain responsible for the data you collect, store, or process using systems provided by LUNA Systems.
5. Fees and payments
Fees for Services will be outlined in your proposal, invoice, or agreement.
Unless otherwise stated:
Fees are payable in advance
All prices are exclusive of GST unless stated
Late payments may result in suspension of Services
We reserve the right to suspend or terminate Services for non-payment.
6. Subscriptions and ongoing services
Where Services are provided on a subscription or ongoing basis:
Fees will recur at the agreed interval
You are responsible for cancelling in accordance with notice requirements
Failure to cancel does not waive payment obligations
Cancellation terms will be outlined in your agreement or onboarding documentation.
7. Intellectual property
All intellectual property developed by LUNA Systems, including but not limited to:
System designs
Automations
Templates
Documentation
Code (where applicable)
remains the property of LUNA Systems unless otherwise agreed in writing.
You are granted a non-exclusive, non-transferable licence to use the systems for your business while you remain a client.
8. Third-party services and integrations
Our Services may integrate with third-party platforms, tools, or service providers.
We are not responsible for:
Availability or performance of third-party services
Changes made by third parties
Data loss or service interruptions caused by third parties
Your use of third-party services is subject to their own terms and policies.
9. Data and privacy
We handle personal information in accordance with our Privacy Policy.
Where we process data on your behalf, you acknowledge that:
You control and own your customer data
You are responsible for lawful collection and use of that data
We act as a service provider supporting your systems
10. Confidentiality
Both parties agree to keep confidential information private, except where disclosure is required by law or permitted under these Terms.
11. Limitation of liability
To the maximum extent permitted by law:
We exclude all implied warranties not required by law
We are not liable for indirect, incidental, or consequential losses
Our total liability is limited to the fees paid to us in the preceding 12 months
Nothing in these Terms limits liability that cannot be excluded under Australian Consumer Law.
12. Australian Consumer Law
Our Services come with guarantees that cannot be excluded under the Australian Consumer Law.
13. Suspension and termination
We may suspend or terminate Services if you:
Breach these Terms
Fail to pay fees
Use the Services unlawfully
Act in a way that exposes us to legal or reputational risk
You may terminate Services in accordance with your agreement or notice requirements.
Termination does not relieve you of outstanding payment obligations.
14. No reliance on advice
Any information provided by LUNA Systems is general in nature and does not constitute legal, financial, or regulatory advice.
You should seek independent advice where required.
15. Force majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including outages, cyber incidents, or third-party failures.
16. Governing law
These Terms are governed by the laws of Queensland, Australia.
You submit to the exclusive jurisdiction of the courts of Queensland.
17. Changes to these Terms
We may update these Terms from time to time. The latest version will be published on our website.
Continued use of the Services constitutes acceptance of updated Terms.
